Terms and Conditions

These Terms of Use (or “Terms”) govern your access to and use of SpecialtyCircle, except where we expressly state that separate terms (and not these) apply. They apply to our various websites, SMS, APIs, email notifications, applications, buttons, widgets, ads, and commerce services that we and our partners provide to advance SpecialtyCircle's mission: [To bridge the gap between coffee lovers and specialty coffee shops worldwide]. These terms cover all services that link to these Terms (collectively, the “Services”), and any information, text, links, graphics, photos, audio, videos, or other materials or arrangements of materials uploaded, downloaded, or appearing on the Services (collectively referred to as “Content”).

When you use our Service, you agree to these terms.

The Service is provided to you by [VAVUCO Inc]. These Terms of Use therefore constitute an agreement between you and [VAVUCO Inc].

Who May Use the Services

You may use the Services only if you agree to form a binding contract with SpecialtyCircle and are not a person barred from receiving services under the laws of the applicable jurisdiction. In any case, you must be at least 13 years old to use the Services.

If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so and have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity.

Privacy

When you use our Services, you may provide us with information such as your email and name. By using the Service, you give us and our partners permission to contact you at the email address you provide.

Our Privacy Policy ([www.specialtycircle.com/privacypolicy]) describes how we handle the information you provide to us when using our Services.

By using the Services, you consent to the collection and use (as set forth in the Privacy Policy) of this information, including its transfer to the United States, Denmark, Panama, and/or other countries for storage, processing, and use by SpecialtyCircle, its affiliates, and partners.

Content on the Services

You are responsible for your use of the Services and for any information you provide, including compliance with applicable laws, rules, and regulations. Only share information you are comfortable displaying publicly.

Any use or reliance on information, listings, or materials obtained via the Services is at your own risk.

We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any information or materials provided via the Services, nor do we endorse any opinions included in such content.

You understand that by using the Services, you may come across information that might be inaccurate, outdated, or otherwise inappropriate. SpecialtyCircle may not monitor all information posted and is not responsible for such content.

We reserve the right to remove information that violates these Terms, including, for example, copyright or trademark violations, impersonation, unlawful conduct, or harassment.

If you believe that any content has been copied in a way that constitutes copyright infringement, please report this by visiting our Copyright Reporting Form ([www.specialtycircle.com/copyrightreportingform]).

Your Commitments

You must not impersonate others or provide inaccurate or misleading information about yourself or any coffee shop listings.
You must not engage in any unlawful, deceptive, or fraudulent activities or use the Services for unauthorized purposes.
You must not violate (or assist others in violating) these Terms or any of our policies.
You must not interfere with or disrupt the intended operation of the Services.
You must not share private or confidential information about others without permission or violate others' rights, including intellectual property rights (e.g., copyright or trademark infringement).

Your Rights and Grant of Rights in the Content

You retain ownership of any information, photos, videos, or other materials (“Content”) you submit, post, or display on or through SpecialtyCircle. What’s yours is yours — you own your Content, including any incorporated media.

By submitting, posting, or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, edit, adapt, modify, publish, transmit, display, and distribute your Content in any and all media or distribution methods (now known or later developed). This license allows us to make your Content available to users worldwide and to promote SpecialtyCircle’s mission.

You agree that this license includes the right for SpecialtyCircle to provide, promote, and improve the Services and to make Content submitted to or through the Services available to other companies, organizations, or individuals for syndication, distribution, or promotion of such Content on other media, subject to our terms and conditions for such Content use.

These additional uses by SpecialtyCircle or other entities may be made without compensation to you for the Content you submit, post, or transmit on the Services.

If you use content covered by intellectual property rights that we provide within the Service (such as images or designs), SpecialtyCircle retains all rights to that content.

SpecialtyCircle may develop rules on how ecosystem partners can interact with your Content on the Services to promote an open, collaborative ecosystem with your rights in mind. You understand that we may modify or adapt your Content as it is distributed, syndicated, published, or broadcast by us and our partners, and/or make changes to adapt it for different media formats.

You represent and warrant that you have obtained all rights, licenses, consents, and permissions necessary to grant the rights provided herein for any Content you submit or display on or through the Services.

You agree that your Content will not contain material subject to copyright or other proprietary rights unless you have the necessary permission or are legally entitled to post the material and to grant SpecialtyCircle the license described above.

Content Removal

We may remove any content or information you share on the Service if we believe it violates these Terms of Use, our policies, or if we are permitted or required to do so by law.

We may refuse or cease providing all or part of the Service to you immediately to protect our users or the integrity of our Services if you create risk or legal exposure for us, violate these Terms of Use or our policies, repeatedly infringe others' intellectual property rights, or as permitted or required by law.

We may also terminate or alter the Service, remove or block content or information shared on our Service, or stop providing all or part of the Service if we determine it is reasonably necessary to prevent or reduce adverse legal or regulatory impacts.

You can request to have your Content deleted by visiting our content removal form ([www.specialtycircle.com/contentremovalform]).

Once you request content deletion, the deletion process will begin within 30 days. It may take up to 90 days for the content to be fully removed, during which time it may still be visible to others.

How Our Service Is Funded

By using the SpecialtyCircle service and/or site, you acknowledge that we may show advertisements from businesses or organizations relevant to the specialty coffee community. These advertisements may appear on the Service and in certain communications we send to you.

We may use information you provide, such as your interests and activity within the Service, to display ads that may be more relevant to you. However, we do not sell your personal data, and we, or third parties we engage, will display ads without disclosing your identity to advertisers.

We may also earn income from advertisements included in our direct communications with you, such as emails.

In some cases, we may promote SpecialtyCircle content, or portions of it, including content, images, and information provided by coffee shops, on other sites or third-party platforms where we may receive revenue from advertising, sales, or partnerships. This promotion helps increase visibility for the coffee shops listed on SpecialtyCircle and supports our mission of connecting coffee lovers with specialty coffee shops worldwide.

General

If any aspect of this agreement is unenforceable, the rest will remain in effect.

Any amendment or waiver to our agreement must be in writing and signed by us. If we fail to enforce any aspect of this agreement, it will not be a waiver.

We reserve all rights not expressly granted to you.

This agreement does not give rights to any third parties.

You cannot transfer your rights or obligations under this agreement without our consent.

Our rights and obligations can be assigned to others. For example, this could occur if our ownership changes (as in a merger, acquisition, or sale of assets) or by law.

Our Service is provided "as is," and we can't guarantee it will be safe and secure or will work perfectly all the time. TO THE EXTENT PERMITTED BY LAW, WE ALSO DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We also don’t control what people and others do or say, and we aren’t responsible for their (or your) actions or conduct or misconduct (whether online or offline) or content (including unlawful or objectionable content). We also aren’t responsible for services and features offered by other people or companies, even if you access them through our Service.

Our responsibility for anything that happens on the Service (also called "liability") is limited as much as the law will allow. If there is an issue with our Service, we can't know what all the possible impacts might be. You agree that we won't be responsible ("liable") for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your content, information, or account.

These terms are subject to Danish law. If disagreements arise between you and us regarding the interpretation, compliance or fulfillment of these terms, the parties expressly agree that the dispute shall be settled by the Copenhagen City Court (Denmark, European Union) in the first instance. Proceedings arising from these terms cannot therefore be brought in another jurisdiction regardless of current or future domicile.
